These terms govern your use of vogtinnovation.com and any services provided by Vogt Innovation Group LLC ("VIG," "we," "us"). By using this site, you agree to these terms. If you don't agree, that's cool — but please don't use the site.

What VIG Does

VIG provides custom software development, AI consulting, and sovereign technology solutions. We build tools that businesses own outright — no monthly subscriptions bleeding you dry, no vendor lock-in, no cloud dependency unless you want it.

Use of This Website

You may browse this site, interact with our demos, and use our contact form. You agree not to:

  • Attempt to gain unauthorized access to our systems
  • Use automated tools to scrape or crawl the site excessively
  • Inject malicious code or attempt to exploit vulnerabilities
  • Misrepresent your identity when contacting us
  • Use the site for any unlawful purpose

Our interactive demos (pricing calculator, CRM preview, etc.) are for demonstration purposes only. They don't create a binding contract or guarantee specific pricing.

Client Services

Engagement Terms

When you engage VIG for a project, we'll provide a separate service agreement that covers:

  • Scope of work
  • Timeline and milestones
  • Pricing and payment schedule
  • Intellectual property ownership
  • Confidentiality terms

The service agreement supersedes these general terms for anything related to that specific engagement.

Intellectual Property

  • Your stuff: You own your business data, content, and any materials you provide to us
  • Custom work: Software we build specifically for you is yours. You get full ownership of the code, deployed system, and all related assets — that's the whole point of what we do
  • Our tools: VIG's proprietary frameworks, libraries, and internal tools remain ours. If we use them in your project, you get a perpetual, royalty-free license to use them as part of your delivered system
  • This website: All content, design, code, and interactive elements on vogtinnovation.com are owned by VIG

Payment Terms

  • Payment terms are specified in your service agreement
  • Late payments may incur a 1.5% monthly fee
  • We reserve the right to pause work on projects with overdue invoices
  • All prices are in USD unless otherwise specified

Warranties & Disclaimers

What We Promise

  • We'll deliver work that meets the specifications in your service agreement
  • We'll fix bugs in delivered software within the warranty period specified in your agreement
  • We'll communicate honestly about timelines, capabilities, and limitations

What We Don't Promise

  • This website is provided "as is." We don't guarantee it'll be available 100% of the time or that the demos will work perfectly on every device
  • No guaranteed results. We build excellent software, but we can't guarantee specific business outcomes like revenue increases or cost savings
  • Third-party stuff. If your project integrates with third-party services, we're not responsible for those services breaking, changing their APIs, or going out of business

Limitation of Liability

To the maximum extent permitted by law:

  • VIG's total liability for any claim related to our services is limited to the amount you paid us for that specific engagement
  • We're not liable for indirect, incidental, consequential, or punitive damages
  • We're not liable for lost profits, data loss, or business interruption

This isn't us trying to dodge responsibility — it's standard business practice. We stand behind our work, and our service agreements include specific remedies for actual issues.

Indemnification

You agree to indemnify VIG against claims arising from:

  • Your use of software we've delivered to you
  • Your violation of these terms
  • Your infringement of any third-party rights

Termination

  • You can stop using this website at any time
  • We can restrict access to the site if you violate these terms
  • Client service termination is governed by your specific service agreement

Governing Law

These terms are governed by the laws of the State of Minnesota, United States. Any disputes will be resolved in the courts of Minnesota.

Changes

We may update these terms. Continued use of the site after changes constitutes acceptance. We won't make changes retroactive to existing service agreements.
